Meeting Planners who execute a Group Sales Agreement for an event at a Hyatt hotel or resort anywhere in the world (the “Hotel”) are eligible for the Hyatt Meeting Promise. The Hyatt Meeting Promise means that if the Meeting Planner’s expectations in terms of the service and/or quality of a meeting at a Hotel are not met, the Hotel will immediately take steps to resolve the problem to the satisfaction of the Meeting Planner and/or refund a portion of the master account as set forth herein.
For the purposes of the Hyatt Meeting Promise, “Meeting Planners” means the designated on-site contact as identified in the Group Sales Agreement. A “Group Sales Agreement” means the Hotel’s form group sales agreement used exclusively for events, excluding social events that include food and beverage purchases, meeting room space, and a minimum of ten (10) room nights.
To qualify for the Hyatt Meeting Promise, a Meeting Planner must immediately notify the Hotel of any problem prior to the conclusion of the meeting. The Hotel will immediately take steps to resolve the problem by offering the Meeting Planner goods or services of comparable size and value. If the problem cannot be resolved during the course of the meeting, the Hotel will issue a refund to the master account that directly relates to the disputed goods or services and provide the Meeting Planner with a credit in an amount equal to the refund to be used towards a Group Sales Agreement for a future meeting at any Hotel, as defined above. The refund to the master account shall not exceed the total amount of the master account. Credit for future goods or services will be equal to the refund in equivalent U.S. Dollars as calculated on the date of the refund. The credit must be used within twenty four (24) months of issuance, and shall be redeemed in the exchange rate in effect on the day of settlement of the master account for the subsequent meeting.
The Hotel guestrooms the subject to the Hyatt Meeting Promise shall be limited to the Hotel guestrooms on the master account. The Hyatt Meeting Promise shall not apply to problems or service interruptions caused by boycotts, war, government regulation, disaster, civil disorder attacks, fires, floods, terrorist acts, delays of commercial carriers, acts of God, strikes, utility blackouts, brownouts or electrical, water, gas, or communications interruptions, curtailment of transportation facilities, or any other emergency of a comparable nature or any similar occurrence beyond the Hotel’s reasonable control. The Meeting Planner and the Hotel agree that any credits or refunds related to the Hyatt Meeting Promise shall be at the discretion of the Hotel General Manager. If, after reasonable discussion between the parties, the parties are unable to resolve the matter, it shall be referred to the designated Vice President responsible for overseeing the specific Hotel, whose decisions shall be final and binding in all matters related to the Hyatt Meeting Promise.
The Meeting Planner and Hotel agree that any disputes arising out of or related to the Hyatt Meeting Promise in the United States shall be submitted to binding arbitration in the city where the Hotel in question is located. The arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association, or such other dispute resolution provider as otherwise agreed to by the parties. The parties expressly agree that this arbitration shall be final and binding on the parties and judgment may be entered upon the award and may be enforced by appropriate judicial action in any state or federal court having jurisdiction thereof. In this connection, the parties hereby submit themselves to the jurisdiction of the state where the Hotel in question is located. The parties agree that the arbitrator shall adhere faithfully to the laws of the state where the Hotel in question is located and that the arbitrator shall award to the prevailing party in arbitration the reasonable attorney’s fees and costs expended in connection with any arbitration conducted under this provision.
The Meeting Planner and Hotel agree that any disputes arising out of or related to the Hyatt Meeting Promise outside of the United States shall be submitted to the competent court in the jurisdiction in which the Hotel in question is located, and are subject to the laws of the jurisdiction where the Hotel in question is located, without reference to any applicable principles of choice of laws.
